Latch — Terms of Service

Welcome to Latch. These Terms of Service (“Terms”) govern your use of the Latch protocol, website, SDK, APIs, and related infrastructure (collectively, the “Services”). By accessing or using Latch, you agree to these Terms. If you do not agree, please discontinue use immediately.


1. Using Latch

You must comply with all applicable laws and any additional policies provided through our Services. We may suspend or terminate access to Latch at any time if we reasonably believe you have violated these Terms or misused the protocol.

1.1 Accounts

Some Services may require an account. You are responsible for safeguarding your credentials and any activity under your account. Latch is not liable for losses resulting from unauthorized access caused by failure to secure your credentials.

1.2 Organizational Use

If you use Latch on behalf of an organization, you represent that you have authority to accept these Terms on its behalf. That organization agrees to indemnify and hold harmless Latch, its developers, affiliates, and contributors from any claim or dispute arising from its use of the Services.


2. Privacy and Data Handling

Our Privacy Policy explains how we handle data generated through the Services. By using Latch, you consent to processing of information in accordance with that policy.

2.1 Protocol Telemetry

Latch may collect minimal, anonymized telemetry such as usage statistics or network events to improve reliability and monitor facilitator health. This data does not include private API content or wallet keys. You may opt out of telemetry collection by disabling analytics within your configuration or browser preferences.


3. Content and Intellectual Property

When you upload, transmit, or host data through Latch, you retain ownership of all intellectual property rights in that content. By submitting data, you grant Latch and its open-source contributors a limited, worldwide, non-exclusive license to process and display the content solely for the purpose of operating and improving the Services.

Latch itself is open-source and governed under permissive licenses (such as MIT or Apache 2.0), depending on the repository in use.


4. Software and Access

We provide a personal, non-exclusive, revocable license to use the Latch SDK, APIs, and related developer tools for legitimate purposes consistent with these Terms. You may not misuse the Services — including attempting unauthorized access, probing, or disrupting the protocol infrastructure.


5. Modifications and Availability

Latch is continuously evolving. We may update, remove, or suspend portions of the Services at any time. You are free to stop using Latch at any point. We may also impose or adjust limits, fees, or access tiers as required for network sustainability.

5.1 Changes to Fees

Transaction or usage fees (including x402 facilitator costs) may be updated periodically. Where applicable, we will provide notice before such changes take effect.


6. Disclaimer of Warranties

Latch is provided “as is” and “as available”, without warranties of any kind. We do not guarantee uninterrupted operation, absence of bugs, or fitness for a specific purpose. You acknowledge that blockchain-based systems may involve inherent risks, including volatility, transaction failure, or data immutability.


7. Limitation of Liability

To the fullest extent permitted by law, Latch, its contributors, and maintainers are not liable for any indirect, incidental, special, consequential, or punitive damages. The total liability for any claim under these Terms shall not exceed the amount paid (if any) for access to the specific Service, or the cost of re-provisioning such Service.


8. Business and Third-Party Use

If you use Latch for commercial purposes, you agree that your organization accepts these Terms and will indemnify Latch and its maintainers from claims arising from your use. Latch may include third-party integrations (such as wallets or facilitators), governed by their respective terms.


9. Updates to These Terms

We may revise these Terms periodically to reflect protocol changes or legal requirements. Updates will not apply retroactively and will take effect no earlier than 14 days after posting, unless required immediately by law or security needs. Continued use of Latch after changes become effective constitutes acceptance of the revised Terms.


10. Miscellaneous

  • These Terms form the entire agreement between you and Latch regarding use of the Services.

  • Non-enforcement of a term does not waive our right to enforce it later.

  • If any provision is found unenforceable, the remaining provisions remain in full effect.

  • These Terms do not create third-party beneficiary rights.
